Setting Up an AI Council: Strategy, Oversight & Alignment

What is an AI council?
Think of an AI council like a board of directors — but just for AI.
When a company starts using AI seriously, someone needs to make the big decisions: Which projects get approved? Are we being responsible? Is this aligned with our strategy? You can’t leave these decisions to one person or one department.
An AI council is a small group of leaders from across the business who meet regularly to steer AI strategy, approve new AI projects, and make sure everything stays safe and ethical.
Who should be on the AI council?
The council needs people who can make decisions, not just observe. Each role brings a critical perspective.

Exam tip: The council is cross-functional
The exam tests whether you understand that an AI council must include BOTH technical and non-technical roles. An AI council made up entirely of IT leaders is a technology committee, not a governance body. The right answer always includes business, legal, ethics, and HR perspectives alongside IT.
What does the AI council do?
The council has four primary responsibilities:
1. Set AI strategy
The council defines the organisation’s AI vision and priorities. This includes:
- Which business problems AI should tackle first
- How AI investments align with overall business strategy
- What success looks like (metrics and milestones)
2. Provide oversight
Every proposed AI project is reviewed against a standard framework:
- Does it align with the strategy?
- What’s the risk level (low, medium, high)?
- Does it comply with responsible AI principles?
- What data does it use and who can access it?
3. Approve and prioritise
Not every AI idea should become a project. The council approves, defers, or rejects proposals based on strategic fit, risk, and available resources. This prevents “AI sprawl” — dozens of disconnected experiments with no coordination.
4. Set standards
The council establishes organisation-wide standards for:
- Acceptable AI use (the acceptable use policy from Module 22)
- Data governance requirements for AI systems
- Vendor and tool approval (which AI platforms are approved)
- Performance and quality benchmarks

Having principles on paper is step one. The council’s job is to make those principles operational.

The responsible AI checklist
Before any AI system goes into production, the council reviews this checklist:
- Fairness: Has the system been tested for bias? Are outcomes equitable across groups?
- Reliability: Has it been stress-tested? Does it fail gracefully?
- Privacy: Does it comply with data protection requirements? Are permissions enforced?
- Inclusiveness: Is it accessible? Does it work for diverse users?
- Transparency: Do users know they’re interacting with AI? Can they understand the output?
- Accountability: Is there a named owner? Are audit logs maintained?
Meeting cadence and decision frameworks
How often should the council meet?

Decision framework
The council needs a consistent way to evaluate proposals. A simple scoring model:
- Strategic alignment (0-5): Does this support business goals?
- Risk level (0-5 inverted): Lower risk scores higher
- Feasibility (0-5): Can we actually build/deploy this?
- Expected impact (0-5): What’s the potential business value?
- Responsible AI compliance (pass/fail): Does it meet all six principles?
Any proposal that fails responsible AI compliance is automatically rejected, regardless of its other scores.
Why responsible AI is a pass/fail gate
Making responsible AI a pass/fail criterion (not a scored dimension) prevents the council from approving high-value projects that carry ethical risks. A project that scores 5/5 on strategic alignment but fails fairness testing does not get approved. This structure protects the organisation from “ends justify the means” thinking.
Scenario: Elena establishes Meridian’s AI council
👔 Elena (CEO, Meridian Consulting) is rolling out AI across her 200-consultant firm. She establishes an AI council with six members:
- Elena herself — Executive sponsor. Final decision authority on AI investments.
- Head of Legal — Reviews contracts with AI vendors, ensures compliance with client data agreements.
- IT Director — Assesses technical feasibility, security, and integration with existing systems.
- Practice Lead (Financial Advisory) — Represents the largest business unit. Identifies high-value use cases.
- HR Director — Manages workforce impact, training plans, and employee concerns about AI replacing jobs.
- External ethics advisor — Independent voice on responsible AI. Reviews high-risk proposals.
Their first three decisions:
- Approved: Copilot for Microsoft 365 for all consultants (low risk, high value, passes all six principles)
- Approved with conditions: AI-powered client insights tool (medium risk — requires data access controls and bias testing before launch)
- Deferred: AI-generated client reports sent without human review (high risk — accountability gap. Revisit when human-in-the-loop workflow is designed)
The “deferred” decision is the council working exactly as intended. It didn’t kill the idea — it required more work to make it responsible.
